Terms of service

Last updated ·

These terms are the agreement between your business and EX7 Capital, which runs Carragent. They cover your plan, the free trial, billing, what the agents may send for you and what happens to your data. By starting a free trial or a plan, you accept them for your business.

Written in plain language. It has not yet been reviewed by a lawyer.

English controls. Spanish and French are for convenience.

Who we are#

Carragent is a brand of EX7 Capital. EX7 Capital provides the service, bills you through Stripe and is the other party to these terms. Legal name and address: EX7 Capital Corp., [FOUNDER: street address], Toronto, Ontario, Canada.

“We” and “us” mean EX7 Capital operating as Carragent. “You” means the business or organization that signs up. The person who accepts these terms confirms they may do so for it. Carragent is for business use, not for personal or household use.

What Carragent does#

Carragent connects the tools your business already uses (for example Google Calendar and Sheets, Microsoft 365, Stripe and HubSpot) and keeps their data together for your business. It can also read the email you choose to forward to it, such as your info@ address and your supplier invoices. AI agents work on top of it: payment reminders, appointment confirmations and reminders, lead follow-ups, review requests, check-ins with customers who have not been back, answers to routine questions, supplier invoices logged in a sheet, stock alerts with purchase orders, and a weekly report.

  • You decide what goes out. An agent asks for your approval before it sends, unless you set auto-approve rules for it. You can change those rules or pause an agent at any time.
  • Some agents write only to you: the weekly report, stock alerts and supplier-invoice reminders come to you, and so does any Front desk message that needs a person. A purchase order to a supplier always waits for your approval.
  • The free AI diagnosis on the site is optional. AI writes it from your answers and nobody reviews it before you see it. It is an estimate, not advice and not an offer.
  • We improve the service over time and may change features. If a change removes something important you pay for, we tell you by email first.
  • Custom work (for example WhatsApp, special integrations or one-off projects) is quoted by email and agreed in writing before any work starts. That written quote adds to these terms.

Your account#

  • Give accurate details and keep them current, including the billing email.
  • You sign in with a one-time link or code sent to your email. Keep that inbox secure: whoever controls it can sign in.
  • You are responsible for the people you invite to your account and for what they do in it.
  • If you think someone got into your account without permission, write to admin@carragent.com right away.

Plans and limits#

Each plan includes a number of agents, tool connections, messages per month and team seats. The current plans, prices and limits are on the pricing page (carragent.com/en/pricing). The weekly report is included in every plan.

  • When you reach your plan’s messages for the month, new messages wait for your approval, and if use keeps growing, the agents pause until the next month. We do not charge extra for going over.
  • Fair use: each plan also has limits on agent runs and AI use that keep the service fast and fair for everyone. Normal use of a plan stays within them. If an account’s use is far outside normal, for example automated bulk sending, we may slow it down or pause it and tell you why.
  • You can change plans at any time from Billing in your dashboard. Stripe prorates the difference.

Free trial#

  • Every plan starts with a 14-day free trial. A card is required to start it.
  • The first charge happens on day 15, unless you cancel before then. Cancel in one click from Billing in your dashboard and you pay nothing.
  • One trial per business and one per card. We may end a trial that repeats an earlier one.
  • During the trial, use is capped: up to 1,000 messages sent and a limited amount of AI use. When a cap is reached, the agents stop sending until your paid plan starts.

Billing and renewal#

  • Payments are processed by Stripe. We never see or store your full card number.
  • Plans are billed in advance, monthly or yearly, in US dollars (USD). The price is the same wherever you are.
  • Your plan renews automatically at the end of each month or year, at the price in effect then, and your card is charged each time, until you cancel.
  • Prices exclude taxes. Where a sales tax applies (for example GST/HST in Canada), it is added on top, and you are responsible for any other taxes on your purchase.
  • Receipts and invoices are in Billing in your dashboard (Stripe’s customer portal).
  • We may change prices. We email you at least 30 days before a new price applies to your plan, and it starts only at a renewal after that notice. If you do not agree, cancel before then.

Cancelling and refunds#

  • Cancel at any time, in one click, from Billing in your dashboard. There is no notice period and no cancellation fee.
  • Cancelling stops the next renewal. Your plan keeps working until the end of the period you already paid for.
  • Your first payment: within 14 days of your first paid charge, you can get it back in full, at once, from Billing in your dashboard. Once per customer: a business, a card or a billing email gets it once.
  • Annual plans: if you cancel within 30 days of an annual charge, you get that charge back in full. Ask for it from Billing in your dashboard, or write to admin@carragent.com.
  • Other charges, monthly ones included, are not refunded, including for a partial month. You can still ask from Billing: we answer by email.
  • A refund is the whole charge, taxes included, back to the card you paid with, and it ends your plan at once. Your data is then kept 30 days, as when any plan ends.

Your data and connected accounts#

  • Your business data stays yours. You let us use it only to run Carragent for you: to sync it, show it in your dashboard and let the agents you turn on do their work. The privacy notice gives the details.
  • You connect each tool yourself through the provider’s own sign-in (OAuth) and see the access you give. We ask only for access that our features use, or are built to use with your approval; the privacy notice says what the agents really do with it.
  • You choose what email reaches Carragent: what you forward to your own Carragent addresses, for the Front desk and Supplier invoices agents (anyone who has an address can also write to it). We never ask to read your inbox, and you can stop forwarding at any time at your mail provider.
  • You can disconnect a tool at any time from Connections in your dashboard. That deletes its access tokens and the data we synced from it. You can also remove Carragent’s access in the tool’s own settings.
  • The providers’ own terms apply to your accounts with them. If a provider changes or cuts off its service, the matching feature may stop working.

Messages the agents send for you#

  • You are the sender of every message an agent sends on your behalf, whether you approved it or an auto-approve rule you set sent it. That includes the answers the Front desk sends to people who write to your info@ address, review requests, check-ins with customers and purchase orders. Messages carry your business’s name and contact details.
  • You are responsible for your own contacts: for having the right to contact each recipient and for following the anti-spam and privacy laws that apply, such as Canada’s CASL, the US CAN-SPAM Act and the laws where you and your customers are. The agents write only to addresses that come from your own tools, sheets and forwarded mail; Carragent adds none of its own, and whether you may write to them is yours to judge.
  • Every customer email ends with a line saying to reply STOP and carries a one-click unsubscribe link. When someone replies STOP (or “unsubscribe”), uses that link or, from a sender address we can verify, tells your info@ address in plain words that they want no more emails, or when an email hard-bounces or is reported as spam, no agent of your business writes to that address again. If someone asks you directly, in any other way, not to be contacted, you must stop too, and you tell us at admin@carragent.com with their address so the agents stop as well.
  • Payment reminders are your own first-party reminders about real invoices your customers owe you. Never use them to threaten, harass, mislead or shame anyone, to add charges the customer did not agree to, or to collect debts for someone else.
  • The approval step and auto-approve rules are your choice. With auto-approve on, messages that match your rules go out without another check, and you remain responsible for them.
  • If someone makes a claim against us because of a message sent for you, data you gave us or your breach of these terms, you cover our reasonable costs and losses from that claim.

Acceptable use#

Do not use Carragent to:

  • send spam, bulk unsolicited messages or messages to bought or scraped lists;
  • break the law, infringe anyone’s rights or impersonate anyone;
  • send threatening, harassing, hateful or deceptive content;
  • steer or buy reviews: ask only the customers you expect to be happy, or offer anything in return for a review;
  • store data the service is not built for, such as card numbers, government IDs, passwords or detailed health records, in notes or messages, or forward mail that holds such data to your Carragent addresses;
  • probe, overload or break into the service, or get around its limits or security;
  • copy or resell the service, or use it to build a competing product.

We may remove content or pause an agent that breaks these rules, and suspend an account for serious or repeated breaches. Where we can, we tell you first and give you a chance to fix it.

AI can be wrong#

The agents and the diagnosis use AI models (Claude, made by Anthropic) to read your data, the email you forward and the PDF invoices you send to the Supplier invoices address, and to draft messages and reports. AI can misread data, a message or a PDF, miss context or write something inaccurate: check the amounts and due dates that the Supplier invoices agent puts in your sheet before you pay anything, and review what matters before it goes out. Set auto-approve rules only for messages you are comfortable sending unchecked. The answers the Front desk sends on its own (only if you turn that on) use the wording of the facts you wrote, not free text from the AI. Nothing Carragent writes is legal, tax, financial or medical advice.

Non-payment and suspension#

  • If a payment fails, Stripe retries it and we email you. Update your card in Billing to fix it.
  • If the payment is still missing after the retries, your agents are paused: nothing more is sent, and your data is kept. The first payment after the free trial is the exception: if it fails, the agents pause at once, until it goes through.
  • Pay the amount due within 30 days and everything resumes as you left it. After 30 days without payment, your plan ends and your data is deleted as described below.

When your plan ends#

  • Your plan ends at the end of the paid period after you cancel, or after non-payment as above. The agents stop.
  • For 30 days after the end, we keep your data so you can come back or take it with you. Ask for an export at admin@carragent.com and we send your data in common formats (CSV or JSON).
  • After those 30 days, we delete your business’s data, including the data synced from your tools, the email forwarded to your Carragent addresses, the invoices the agents logged, the agents’ history and your access tokens. We email you at least a week before. You can ask us to delete it sooner.
  • We keep your account (sign-in, name and business name) so you can come back, until you ask us to close it; the list of addresses that asked not to be contacted by your business (an address and a date), so those requests keep working; and what the law requires, such as billing and tax records, for as long as it requires. Deleted data can stay in encrypted backups for a short time until they rotate.
  • We may end these terms with 30 days’ notice by email, for example if we stop offering Carragent. If we do, we refund the unused part of any prepaid period.

Ownership#

Carragent’s software, agents, prompts, templates and brand belong to EX7 Capital. While your plan is active, you may use the service for your business under these terms. Your data belongs to you. If you send us feedback or ideas, we may use them without owing you anything.

No warranty#

We work to keep Carragent reliable and secure, but we provide it “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, or that it will bring a particular result, such as invoices paid, appointments kept or deals won. Connected tools, email delivery and AI providers are run by others, and their outages are outside our control. Where the law does not allow these exclusions, they apply as far as it allows.

Limitation of liability#

As far as the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue, data or opportunities, or for messages sent with your approval or under your auto-approve rules.

Our total liability for all claims about Carragent is limited to the fees you paid us in the ninety (90) days before the event that led to the claim.

Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud.

Changes to these terms#

We may update these terms. The date at the top shows the current version. For an important change, we email the account owner at least 30 days before it applies. If you keep using Carragent after that, the new terms apply; if you do not agree, cancel before they take effect.

Governing law#

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario decide any dispute, unless the law where your business is located gives you a right that cannot be waived.

These terms, the pricing page and any written quote for custom work are the whole agreement about Carragent. If a part of these terms cannot be enforced, the rest still applies. The English text is the controlling version; Spanish and French are provided for convenience.
